TERMS & CONDITIONS
This document explains the conditions of service, payment obligations, and usage rules for all customers of J&A Limited.
1. AGREEMENT OVERVIEW
This Terms and Conditions Agreement (“Agreement”) is a legally binding contract between J&A Global Enterprises Nigeria Limited (“J&A Limited”, “Company”, “We”, “Us”) and the Customer (“You”, “Your”) for the provision of solar energy systems under a flexible payment plan model.
By applying, making payment, accepting installation, or using the system, you agree to be bound by all terms stated in this Agreement.
2. OWNERSHIP OF EQUIPMENT
All solar equipment including panels, batteries, inverter systems, and accessories remain the exclusive property of J&A Limited until full payment is completed.
Ownership transfers only after full settlement of:
Installation fee
Monthly payments
Penalties and charges
Any outstanding balances
Until full payment is completed, the customer remains a licensed user and not the owner.
3. INSTALLATION FEE
A mandatory non-refundable installation fee of ₦100,000.00 is required before installation begins.
This covers:
Delivery
Installation
System setup
Configuration
Testing and activation
User onboarding
Once paid or installation is scheduled, this fee is strictly non-refundable.
4. PAYMENT STRUCTURE
Payments are structured on a 30-day billing cycle from installation date.
Payments are due every 30 days
No grace period applies
Payments must be made on time
Late payment triggers penalties and system restrictions
5. LATE PAYMENT PENALTIES & SYSTEM ACTIONS
🔹 First Month Default (1–30 days overdue)
10% penalty added to monthly payment
System may be restricted or limited
🔹 Second Month Default (31–60 days overdue)
15% penalty added to outstanding balance
System will be fully deactivated
Reactivation only after full payment of arrears
🔹 Third Month Default (61–90 days overdue)
System will be retrieved immediately
Customer will be charged a 20% recovery fee
System access is permanently removed until full settlement
6. SYSTEM RETRIEVAL POLICY
J&A Limited reserves the right to retrieve the system if payment is not completed within 90 days.
Retrieval includes:
Physical removal of equipment
Transport and logistics
Labour and operational costs
All retrieval costs are borne by the customer.
7. CONTRACT TERMINATION (90 DAYS RULE)
If payment is not completed within 90 days:
The contract is automatically terminated
All active plans are cancelled permanently
Customer loses all rights to the system
All previous payments are non-refundable
Customer may be blacklisted from future services
8. REINSTALLATION POLICY
If a customer requests system reinstatement after retrieval:
Full outstanding balance must be paid
A 20% recovery fee applies
A ₦100,000 reinstallation fee is required
Approval is subject to company discretion
9. SYSTEM CONTROL RIGHTS
J&A Limited retains full operational control of the system for service management.
Customers will only access system control features through their secure dashboard after login.
Through the dashboard, users may:
Turn system ON when account is active
Turn system OFF when needed or when required by system status
View system status and alerts
J&A Limited reserves the right to restrict or disable system access in cases of:
Payment default
Contract violation
Security concerns
Unauthorized activity
10. INSTALLATION POLICY
Installation is only carried out after approval and payment of the installation fee.
Once installed:
No refund applies
System becomes active under contract terms
Customer assumes responsibility for usage compliance
11. REFUND POLICY (STRICT NO REFUND RULE)
All payments made to J&A Limited are strictly NON-REFUNDABLE.
This includes:
Installation fee (₦100,000)
Monthly payments
Penalties
Recovery fees
Reinstallation fees
No refunds will be issued under any circumstances, including:
Customer cancellation
Service interruption
System retrieval
Contract termination
Non-usage of system
Payment disputes after installation
All payments are considered service access and usage fees, not refundable deposits.
12. SERVICE INTERRUPTION
J&A Limited may interrupt service if:
Payments are overdue
System misuse is detected
Terms are violated
Service will only resume after full settlement of outstanding obligations.
13. SYSTEM RELOCATION
System relocation is strictly prohibited without written approval.
Unauthorized relocation may result in:
Immediate system deactivation
System retrieval
Additional charges
14. MAINTENANCE RESPONSIBILITY
Customers must:
Maintain system properly
Avoid tampering or unauthorized repair
Report faults immediately
Allow scheduled maintenance access
Damage caused by misuse will be charged to the customer.
15. GUARANTOR LIABILITY
Where applicable, guarantors are legally responsible for outstanding debts in the event of customer default.
16. LIMITATION OF LIABILITY
J&A Limited is not responsible for:
External power grid failures
Weather or environmental disruptions
Internet or communication failures
Indirect financial losses
17. FORCE MAJEURE
We are not liable for delays caused by:
Natural disasters
Government actions
War or civil unrest
Nationwide outages
18. DATA & VERIFICATION
Customers agree to:
Identity verification
Credit checks
Data monitoring
Third-party verification
19. AMENDMENTS
We may update these terms at any time. Continued use of services means acceptance of updated terms.
20. GOVERNING LAW
This Agreement is governed by the laws of the Federal Republic of Nigeria.
21. ENTIRE AGREEMENT
This document represents the full agreement between both parties.
